Structured Finance

Michael Fralin concentrates his practice on commercial real estate transactions and the acquisition, financing, workout and disposition of real estate. Michael Fralin has advised major financial institutions, commercial and investment banks, insurance companies, public sector entities, real estate investment trusts, and real estate developers in numerous sophisticated transactions involving office buildings, regional shopping centers, hotels, resorts, multifamily residential complexes, mixed-use projects, healthcare-related projects, single-tenant retail sites, warehouse and industrial sites.

Michael Fralin has extensive experience in the origination, restructuring, and workout of commercial mortgage and mezzanine loans and the sale and purchase (and foreclosure) of those loans. He has particular experience with the origination, restructuring, workout, and sale and purchase of commercial mortgage loans held in securitization trusts, as well as insurance company portfolio lending. This includes substantial experience in credit lease-backed financings, mezzanine financings, mezzanine and junior note sales and purchases, senior/subordinate note and participation structures, construction loans, cell tower financings and other infrastructure financings.

Michael Fralin has also participated in pro bono work over his career, including the representation of a New York based drug treatment facility and a Chicago based religious institution.

Represented real estate investment firm in connection with the purchase of an office building in downtown KC (via a purchase of the loan).  Following the purchase of the loan, Couzens assisted the company with the foreclosure of the loan and the acquisition of fee title.  Thereafter, Couzens assisted the company in obtaining mortgage financing on the property.  Couzens also negotiated property level agreements including property management agreements, listing agreements, other service contracts.

Represented real estate owner in connection with the sale of a retail shopping center in Los Angeles.

Negotiated a settlement among Owner, the City of Kansas City and the owner of a neighboring property with respect to certain parking litigation relating to the garage beneath the client’s building

Represented real estate investor in connection with the acquisition of a 500,000 square foot office building located within Cleveland’s CBD.  In connection therewith, drafted and negotiated all of the documents in connection with the purchase and sale together with all joint venture documents with the client’s JV partner.

Represented  a real estate firm in connection with the acquisition and the mortgage financing of a 142 unit (500 beds) student housing facility with 335 parking spaces, including 30 garage spaces (via the purchase of loan secured thereby).

GENERAL COUNSEL

Michael Fralin’s firm serves as outside general counsel to Somera Road and its affiliates. Michael primarily advises Somera on the structure and execution of real estate transactions, general contracts and litigation. Michael Fralin formerly practiced law in the offices of Paul Hastings, LLP in the firm’s Real Estate/Structured Finance Group.

While there, Michael handled all types of real estate transactions, including the origination of mortgage loans intended for securitization, mezzanine loans, bridge loans and credit facilities. Michael was involved in all real estate asset types, including hotels, retail, office, multifamily, and industrial properties, ranging from single-asset financings to highly structured portfolio transactions. Michael Fralin previously practiced at other leading international law firms, including Cadwalader, Wickersham & Taft LLP, Sidley Austin LLP and Kelley Drye LLP.

In addition to serving as outside counsel, Michael has served as an in-house business lawyer in various capacities. Following his time at Cadwalader, Michael served as lead counsel for J.P. Morgan’s Chicago-based CMBS Group. Michael’s in-house experience also includes serving as a Managing Director at a New York based Collateral Debt Obligation manager and as General Counsel to a children’s activity franchise in Chicago.
